We have particular experience with the retail, hospitality, commercial property, senior care and healthcare industries.
Corporate Governance & Formation
Corporate governance works include compliance with Companies Act 2006, drafting board and general meetings, drafting articles of association and other constitutional documents of companies including start ups, share capital matters including allotments and classification of shares, appointment and removal of directors, changes to company PSC registers, complying with Companies House filing requirements and maintaining the statutory books of client companies. We also support our clients with company formation documentation and filings.
M&A
Managing M&A transactions by supporting with due diligence, VDR management, drafting and negotiating transaction documents and related corporate ancillaries, dealing with third party advisors, and managing related workstreams, dealing with post-completion matters and submission of Companies House notifications.
Turkish Law
Assisting with commercial and residential property purchases and sales in Turkey, drafting and negotiating tenancy agreements, inheriting or transferring assets, drafting and negotiating Turkish law governed agreements, company formations in Turkey, Turkish law compliance services, Turkish notarial, translation and other administrative tasks. We are also able to represent our clients in Turkish commercial and civil courts and tribunals with our Turkish qualified lawyers.
Data Protection
Advising on data protection and data processing obligations, icompliance with the relevant laws and regulations including changes introduced by the General Data Protection Regulation (GDPR), drafting privacy and cookies notices, collaborating with clients in drafting internal data and confidentiality related policies, responding to data breaches, subject access requests, drafting and negotiating terms of confidentiality agreements, non-disclosure agreements and confidentiality breaches.
